Support Across Key Stages

Formation – We work with entrepreneurs to determine the appropriate corporate structure, draft founders’ agreements, and address tax, capital structure, and governance considerations at an early stage, creating a strong legal foundation that supports long-term growth.

Capital raising – We represent entrepreneurs, companies, investors, and venture capital funds throughout the investment process, including negotiation of term sheets, due diligence processes, drafting investment agreements, convertible loan instruments, SAFE rounds, and related transactions. Our experience representing multiple stakeholders allows us to understand the perspectives and interests of each party, identify key leverage points, and provide effective representation tailored to our client’s position in the transaction.

Intellectual property protection – We assist clients in developing comprehensive intellectual property strategies designed to protect both technological and brand assets. Our work includes licensing third-party technologies (including the commercialization of academic inventions and innovations), implementing internal intellectual property management processes, and integrating proprietary technologies into commercial products.

We draft and negotiate non-disclosure agreements (NDAs), licensing agreements, and development agreements, and handle matters relating to trademarks, copyrights, patents, and trade secrets. This work is carried out by a multidisciplinary team that includes attorneys and a patent attorney specializing in strategic intellectual property planning, legal protection frameworks, and intellectual property asset management.

Contracts and agreements – We draft and negotiate the full range of agreements required by technology companies at different stages of development, including services agreements, SaaS agreements, proof-of-concept (POC) agreements, option agreements (including ESOP plans), collaboration agreements, supplier agreements, customer agreements, and agreements with employees and consultants.

Ongoing legal support – We provide ongoing legal guidance to address the questions and challenges that arise as companies grow and evolve. Our team remains closely involved with management and operational teams, helping companies respond to emerging developments and business opportunities in real time.

Formation of venture capital and private investment funds – In addition to representing investors in technology companies, we assist clients in structuring investment vehicles, including venture capital funds and other private investment structures, as well as crowdfunding initiatives.

International activity – We support cross-border transactions and international expansion, assisting clients in navigating foreign legal systems and global regulatory frameworks. Privacy and regulatory compliance – Technology companies operate in a rapidly evolving regulatory environment, particularly in areas such as data protection, information security, materials regulation, and financial regulation. We advise clients on regulatory compliance, including drafting privacy policies, implementing GDPR compliance frameworks, registering databases, and addressing related regulatory requirements.
